Terms of sale

We sell wholesale to licensed retail businesses only. By opening an account you represent that your business holds, and will maintain, every licence required to purchase and resell vape and nicotine products in each jurisdiction you operate in, and that all individuals transacting on the account meet the applicable minimum age (19+, or 21+ where provincially required). We may suspend or close accounts whose licensing lapses or cannot be re-verified.

• Applications are reviewed before activation; pricing and ordering remain locked until approval
• You are responsible for the actions of users you authorize on your account
• Keep credentials confidential; notify us immediately of suspected unauthorized use

• All prices are wholesale, in Canadian dollars, exclusive of applicable taxes unless stated otherwise
• An order is accepted when we confirm it; we may decline or limit orders we cannot lawfully or practically fulfil
• Prepaid accounts settle at checkout; net-terms accounts must pay invoices by their due date
• Overdue balances may pause fulfilment and accrue interest at 1.5% per month (19.56% annually)
• Store credit and gift cards apply only to purchases on the issuing account and have no cash value

Delivery dates are estimates. Title and risk of loss pass on carrier delivery to your verified commercial address. Inspect on arrival; damage and shortage claims must be reported within 48 hours of delivery as described in our shipping policy.

Returns require a return authorization (RMA) issued through the portal and follow the published returns policy. Regulated product that has left our verified chain of custody may only be returned where the policy expressly allows it.

• Products are for resale through licensed retail channels only — not for resale to unlicensed sellers
• You are responsible for retail-level compliance: age verification, display, labelling, and provincial flavour or nicotine restrictions
• We may recall product; you agree to cooperate with recall and traceability requests

To the maximum extent permitted by law, our aggregate liability for any claim is limited to the amount you paid for the goods giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits.

These terms are governed by the laws of Ontario and the federal laws of Canada applicable there. If any provision is unenforceable, the remainder stands.
